Overview
The Mukhiani Greenhouse Cluster (MGR) is a 52.9-hectare, fully serviced agro-industrial development zone located in Tskaltubo Municipality, Imereti Region, Georgia. Developed by JSC GH Agri (GHA), MGR is Georgia’s first investment-ready platform for scalable, year-round greenhouse production. The cluster integrates modern infrastructure, high-yield cultivation systems, vocational education, and cooperative engagement to establish a replicable model for climate-resilient agriculture across Georgia and the wider region.
Key Features
- Infrastructure & Services: Pre-developed land plots equipped with hot water (CHP-based), electricity, CO₂, irrigation, and waste management services.
- Operational Support: Centralized operations and maintenance (O&M) services managed by MGR LLC.
- Vocational Training: Access to training and seedling supply services provided by the GFF Year-Round Strawberry Facility.
- Production Diversity: Supports high-tech (glass greenhouses), mid-tech (tunnels), and low-tech (seasonal outdoor) production for vegetables, berries, herbs, and flowers.
Anchor Project: GFF Year-Round Strawberry Facility
Adjacent to the MGR cluster, the GFF Year-Round Strawberry Facility serves as the anchor pilot project. This 6-hectare high-tech production unit combines year-round strawberry cultivation with an integrated propagation center. Key components include:
- 4 hectares of fully automated glass greenhouses for year-round strawberry production.
- 1 hectare propagation center producing strawberry seedlings, fruit tree cuttings, and tulips.
- 1 hectare allocated for technical infrastructure and potential expansion.
The facility also operates a prolonged seasonality production model in partnership with the Cooperative ‘Produce in Imereti’, extending the strawberry production season through additional greenhouse and open-field cultivation.
Financial Overview
Total CAPEX (Phase I): Approximately USD 12.1 million
- Stabilized Annual Revenue:
- Land lease/sales: Up to USD 6.1 million/year.
- Utility and service revenue: Approximately USD 16.4 million/year.
- Financial Metrics:
- Internal Rate of Return (IRR): ≥ 21%.
- Net Present Value (NPV): Approximately USD 0.5 million (10% discount rate).
- Estimated company valuation: Approximately USD 36 million.
Investment Opportunities
SPV-Level Investment: Investors can acquire up to 51% ownership in dedicated Special Purpose Vehicles (SPVs) such as MGR LLC or GFF LLC.
Holding-Level Investment: Strategic investors may participate at the holding level by acquiring up to 15% in Class A shares and/or a limited tranche of Class B shares in JSC GH Agri (GHA).
Phase 1 (2025 – Q1 2026):
Feasibility studies, structuring, and EPC procurement.
Phase 2 (Q2 2026 – Q1 2027)
Financial close, engineering, and construction launch.
